Terms of Service

These terms govern your use of the Sprout Affiliate app and the sproutaffiliate.com website, operated by [Your Company Legal Name] ("Sprout," "we," "us"). By installing or using the app, you ("the merchant") agree to these terms. If you don't agree, don't use the app.

1. The service

Sprout helps Shopify merchants run affiliate programs: recruiting affiliates through a signup portal, tracking referred sales by discount code or referral link, calculating commissions, and paying affiliates. We provide the software; you decide your program's terms, commission rates, and who you approve.

2. Plans and billing

All charges are billed through Shopify's billing system and appear on your Shopify invoice. Fees are exclusive of any taxes that may apply. You can cancel at any time from your Shopify admin; cancellation stops future charges and downgrades you to the free plan. Except where required by law, fees already charged are non-refundable.

Automatic payouts are delivered through PayPal, a third-party service with its own terms and availability. We are not responsible for delays, holds, fees, or failures caused by PayPal, by incorrect payout details you or an affiliate provide, or by insufficient funds. You are responsible for reviewing payout runs before sending them.

5. Acceptable use

You agree not to misuse the app: no unlawful activity, no attempts to breach or overload the service, no reverse engineering, and no using the app to send spam or to run programs that violate Shopify's policies or applicable law.

6. Intellectual property

Sprout and its software, branding, and content remain our property. We grant you a limited, non-exclusive, non-transferable right to use the app while your account is in good standing. Your store's data remains yours.

7. Disclaimers

The app is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the app will be uninterrupted, error-free, or that it will produce any particular sales or revenue result.

8. Limitation of liability

To the maximum extent permitted by law, Sprout will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability arising out of or relating to the app is limited to the amount you paid us for the app in the three months before the event giving rise to the claim.

9. Indemnification

You agree to indemnify and hold Sprout harmless from claims arising out of your use of the app, your affiliate program, your payouts, or your violation of these terms or applicable law.

10. Termination

You may stop using the app at any time by uninstalling it. We may suspend or terminate access if you breach these terms or use the app unlawfully. On termination, your data is handled as described in our Privacy Policy.

11. Changes to these terms

We may update these terms as the app evolves. Material changes will be reflected by the "Last updated" date above and, where appropriate, communicated in the app. Continued use after a change means you accept the updated terms.

12. Governing law

These terms are governed by the laws of [Your State/Country], without regard to conflict-of-law rules. Any dispute will be handled in the courts located there, unless applicable law provides otherwise.
